

Kathryn M. Schwertfeger has worked on a broad array of transactions and general corporate representation for emerging growth and middle market public companies. She has worked as outside and in-house general counsel for profit and non-profit entities, performing and supervising on-going functions such as business contracting, securities and exchange commission filings, corporate record keeping for domestic and foreign corporations, stock option plan maintenance, risk management, litigation supervision, human resources, and transfer agent coordination.
Since 2002, Ms. Schwertfeger has been serving as counsel in the Law Offices of George S. Bums, providing general litigation and corporate advice on negotiations of real estate development entitlements, refinancings, divestitures, SEC filings, private placements and business acquisitions. At the same time, since 2003, Ms. Schwertfeger has been serving as Legal Counsel to the Prostate Cancer Foundation, the world’s largest source of philanthropic support for prostate cancer research, providing general corporate counsel and representation.
Earlier, she served as Vice President, General Counsel for Protocare Inc., serving as part of a senior management team that built a human clinical trials and healthcare consulting business with $42 million in annual revenue within two years. Prior to joining Protocare, Ms. Schwertfeger served as General Counsel for the Mercury Air Group, a publicly traded aviation service company. In this capacity, Ms. Schwertfeger was part of a senior management team that grew the company, principally through acquisition, from $30 million to $250 million in annual revenue.
Ms. Schwertfeger started her law career as an Associate at Riordan & McKinzie, a corporate transaction practice focusing on mergers, acquisitions, public and private debt and equity offerings, secured and unsecured loans, reorganizations and venture capital financing transactions.
Ms. Schwertfeger received her BA from the University of Southern California, Summa Cum Laude, Phi Beta Kappa, and her JD from the University of California, Order of the Coif.
